These Terms of Use (“Agreement”) govern your access to and use of the Aureum+ streaming service (the “Service”), including the Aureum+ website, applications, and related software, features, and content (collectively, “Aureum+ Content”). The Service is provided by Aureum Studios, Inc. (“Aureum,” “we,” “us,” or “our”).

By creating an account, purchasing a subscription, or accessing or using the Service, you agree to this Agreement. If you do not agree, do not use the Service. IMPORTANT: This Agreement requires most disputes to be resolved by individual binding arbitration and includes a class-action waiver. See Section 10

1. Eligibility and Account

1.1 Age. You must be at least 18 years of age, or the age of majority in your state of residence, to create an account or purchase a subscription. Minors may use the Service only under the supervision of an adult account holder.

1.2 Personal Use Only. The Service and Aureum+ Content are provided for your personal, non-commercial use only. Companies, commercial establishments, and groups may not purchase or use the Service. You may not share your account outside your household unless expressly permitted by your subscription plan.

1.3 Territory. The Service is available only in the United States and its territories where we offer it. You may access the Service primarily within the country in which you established your account, and only where we have the rights to make content available. You may not access the Service from locations where we do not offer it or do not have the necessary rights.

1.4 Account Responsibility. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately of any unauthorized use.

2. Subscription and Billing

2.1 Auto-Renewal. Your subscription will automatically renew at the end of each billing period (monthly, annual, or other period you select) until you cancel. Payment will be charged to your designated payment method at the start of each billing period.

2.2 Cancellation. You may cancel at any time. Cancellation takes effect at the end of the current billing period. You will continue to have access through the end of the paid period.

2.3 No Refunds. We do not provide refunds or credits for any partial billing periods, unused time, or unused content. All fees are fully earned upon payment. We may, in our sole discretion, provide refunds or credits on a case-by-case basis, but we are under no obligation to do so.

2.4 Payment Methods. You authorize us to charge any payment method associated with your account. If a charge fails, we may suspend access until payment is successfully processed. You are responsible for any fees charged by your payment method provider.

2.5 Price Changes. We reserve the right to change subscription prices. We will attempt to notify you of price changes in advance; however, continued use after a price change constitutes acceptance of the new price.

3. License and Restrictions

Subject to this Agreement and your payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and view Aureum+ Content for personal, non-commercial use in accordance with this Agreement.

You agree not to:

Use the Service or Content for commercial purposes or public performances;  Copy, reproduce, distribute, modify, display, perform, publish, or create derivative works from any Content;  Circumvent, disable, or otherwise interfere with any content protection, digital rights management, or other technological measures;  Use any robot, spider, scraper, or automated means to access the Service;  Reverse engineer, decompile, or disassemble any software associated with the Service;  Use the Service, Aureum+ Content, or any portion thereof to train, develop, improve, or support any artificial intelligence, machine learning, or similar models or systemsEngage in any activity that interferes with or disrupts the Service.

3.1 Downloads (if offered). Any content you download is available only for a limited time (typically 30 days after download or 48 hours after you begin playback, whichever is shorter) and may be revoked or expire at any time if your subscription ends, the title is removed, or we determine it is necessary for rights or technical reasons. Downloaded content remains subject to this Agreement and may not be transferred or retained after expiration or revocation. We may terminate or restrict your access if you violate these terms.

4. Content Availability

We do not guarantee that any particular title, feature, or quality level will be available at any time. Content availability varies by location and may change or be removed without notice due to licensing, technical, or other reasons. The quality of your viewing experience depends on your internet connection, device, and other factors outside our control.

5. Changes to These Terms

We may change this Agreement from time to time without notice. Continued use of the Service after any change constitutes your acceptance of the revised Agreement. It is your responsibility to review this Agreement periodically. If you do not agree to the revised terms, you must stop using the Service and cancel your subscription.

6. Suspension and Termination

We may suspend or terminate your access to the Service at any time, with or without notice, if we believe you have violated this Agreement, engaged in fraudulent activity, or for any other reason in our sole discretion. Upon termination, your right to access the Service and any downloaded content ends immediately.

7. Disclaimers

THE SERVICE AND ALL AUREUM+ CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AUREUM AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THIS AGREEMENT SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

9. Indemnification

You agree to indemnify, defend, and hold harmless Aureum and its affiliates from any claims, damages, losses, or expenses (including reasonable attorneys’ fees) arising out of your use of the Service, your violation of this Agreement, or your violation of any third-party rights.

10. Dispute Resolution — Binding Arbitration and Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR RIGHTS.

Except for claims that qualify for small claims court, any dispute arising out of or relating to this Agreement or the Service shall be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. The arbitration shall take place in Louisiana (or another mutually agreed location) and shall be conducted in English.You and Aureum waive the right to a jury trial and the right to participate in a class action, class arbitration, or representative action. You may opt out of this arbitration provision by sending written notice to us within 30 days of first accepting this Agreement. Time Limit. To the fullest extent permitted by applicable law, you or Aureum must initiate any claim or arbitration demand within one (1) year after the claim arises. Failure to do so permanently bars the claim. This Agreement is governed by the laws of the State of Louisiana, without regard to conflict-of-law principles. Notwithstanding the foregoing, if the laws of your state of residence prohibit the waiver of certain consumer rights, those laws shall apply to the extent required.

11. Miscellaneous

Entire Agreement. This Agreement constitutes the entire agreement between you and Aureum regarding the Service. Severability. If any provision is found unenforceable, the remaining provisions remain in effect. Assignment. We may assign this Agreement; you may not. Survival. The provisions of Sections 7, 8, 9, and 10, and any other provisions that by their nature should survive, will survive termination or expiration of this Agreement.

By using Aureum+, you acknowledge that you have read, understood, and agree to this Agreement.
